Welcome to UAP Global Ltd. (hereinafter referred to as “Union Apps”), the company acting and organized under the laws of the Republic of Cyprus, with address: Pindou 4, Egkomi, 2409, Nicosia, Cyprus.
 
These Terms of Service (hereinafter referred to as the “Terms”) regulate the use of the Services by Union Apps Users.
 
1. Definitions

1.1. "Union Apps", "we", "us", or "our" refer to UAP Global Ltd.
 
1.2. “Union Apps User”, “Union Apps Users”, “You” or “yours” refer to the users of Union Apps Services.
 
1.3. “Union Apps Applications” refer to applications:
- that were developed by a third party but inside which Union Apps implemented technical solutions for application promotion and in-app analytics;
- that were developed by a third party but which were promoted by Union Apps through the Internet, including promotion through application stores (AppStore, Google Play etc.), social networks (Facebook, Instagram etc.), promotion through influencers (including but not limited to promotion by video bloggers on YouTube and other kinds of video hosting), promotion by means of Apple Store Optimization – ASO (including but not limited to application icon creation, choice of optimal application name, key words selection for optimal application search, drafting description of the application for application stores, and creating screenshots of the application), and promotion through other applications for mobile platforms or devices and web applications;
- that were developed by a third party but inside which Union Apps implemented advertisement of another application for mobile platforms or devices, or web application, including another Union Apps Application.
 
1.4. “Union Apps Content” refers to text, data, graphics, images, illustrations, forms, documents, marketing materials, look and feel attributes, Union Apps or our licensors' trademarks and logos, and other content made available by Union Apps on or through our Website and by providing the Services. 
 
1.5. “Service” or “Services” refer to Union Apps Website available at unionapps.com, technical or other solutions implemented by Union Apps into Website and Union Apps Applications, and the services that Union Apps provides to its clients regarding the Union Apps Application: product and marketing analytics, application promotions, launch UA campaigns, influencer marketing. 
 
1.6. “Website” refers to Union Apps Website available at Union Apps.com.
 
 
2. Overview

2.1. When you open the downloaded Union Apps Application or otherwise obtain access to the Services of Union Apps, you agree to the following terms. 

2.2. We may amend this Terms of Service and any linked information from time to time by posting amended terms on the Website, without notice to you. 

2.3. The Website enables Users to:
- view information about Us and the Services We provide;
- communicate with Us;
- request for a consultation and other services; 
- subscribe to a mailing list.

We may, from time to time, and without notice, modify the Website in any way, including adding, deleting or changing any data. However, we do not undertake to keep the Website updated. 

 

3. Scope

3.1. Before using the Website, our Services and Union Apps Applications, you must read the whole Terms of Service, the Privacy Policy and all linked information.

By accepting this Terms of Service as you access our Website, Services and Union Apps Application, you agree that this Terms of Service will apply whenever you use the Website, Services or the Union Apps Application, or when you use the tools we make available to interact with the Website, our Services and Union Apps Application. Some Services may have additional or other terms that we provide to you when you use those Services.
4. Eligibility

4.1. You will not use the Website , our Services and the Union Apps Applications if you:

are suspended from using the Website, Services or the Union Apps Applications.

5.1. Subject to your compliance with these Terms, Union Apps hereby grants you a limited, non-exclusive, non-transferable license to access, view, and use Union Apps Services, Website and Union Apps Content solely for your personal and non-commercial purposes.
5.2. By using our Services and Website, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at. 

5.3. You may not use Union Apps Services and Union Apps Content for any purpose that is unlawful or prohibited by these Terms or to solicit the performance of any illegal activity or other activity which infringes the rights of Union Apps or others.

5.4. Notwithstanding any other rights or restrictions in these Terms, you shall not use Union Apps Website and Services to:
violate any laws, third party rights, or Union Apps Terms of Service and Privacy Policy;
copy, modify, host, stream, reproduce, sublicense or resell content from the Website, Services or Union Apps Applications except as otherwise explicitly provided in these Terms;
circumvent any use restrictions put into place by these Terms or Privacy Policy of Union Apps to prevent illegal uses of the Website, Services or Union Apps Applications;
introduce to Union Apps Website, Services or Union Apps Applications viruses, worms, Trojan horses, and/or harmful code;
obtain unauthorized access to any computer system that is used by Union Apps for managing Services, Website or Union Apps Applications;
invade the privacy of other Union Apps Users;
misrepresent your identity or use a false e-mail address;
improperly use Website support or make false reports to Union Apps staff.
tamper with or obtain illegal access to the Services or Union Apps Content;
conduct fraudulent activities; or
collect or harvest information regarding other users of Union Apps Services for any reason whatsoever, including, without limitation, for sending such users unsolicited commercial email or for any other reason not specified in these Terms.

 

5.5. All Union Apps Users have a right to provide us with feedback on the Services of Union Apps and Union Apps’s business activities. The feedback can be sent to our e-mail info@unionapps.com.

5.6. The Services of Union Apps may contain links to third-party websites and resources and other materials of third parties. Because we do not control the content of such websites, resources, and other materials, as well as the availability of such websites, resources or other materials, it is your sole responsibility for and you assume all risks arising from your use of any such websites or resources.

5.7. You acknowledge and agree that Union Apps shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services. We strongly advise you to read the terms of service and privacy policies of any third party web sites or services that you visit.

5.8. We may use third-party Service Providers, including but not limited to Google Analytics, to monitor and analyze the use of our Website, Services or Union Apps Applications.

 

6. Ownership

6.1. Our Services, Union Apps Content and Union Apps Applications are protected by copyright, trademark, and other laws of the Republic of Cyprus, legal acts of the European Union, and other foreign countries’ laws and regulations. Except as expressly provided in these Terms, Union Apps, its subsidiaries, our licensors and developers of the Union Apps Applications exclusively own all Intellectual Property Rights to Website, Union Apps Content or Union Apps Applications. 
6.2. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying our Services, Union Apps Content and Union Apps Applications
7. Disclaimers

7.1. Our Services and Union Apps Content are provided on an “as is” and “as available” basis, without warranty of any kind, either express or implied.
 
7.2. Without limiting the foregoing, Union Apps explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade.
7.3. Union Apps makes no warranty that our Services or Union Apps Content will meet your requirements or will be available on an uninterrupted, secure, or error-free basis. 
7.4. Union Apps makes no warranty regarding the quality of any Services or Union Apps Content purchased or obtained through our Services, or the accuracy, timeliness, truthfulness, completeness or reliability of any Union Apps Content obtained through our Services or Website.
7.5. No advice or information, whether oral or written, obtained from Union Apps or through our Services or Union Apps Content, will create any warranty not expressly made herein.
8. Limitation of Liability

8.1. Union Apps is not liable to Union Apps User or anyone else for any loss of use, data, goodwill, or profits, whatsoever, and any special, incidental, indirect, consequential, or punitive damages whatsoever, regardless of cause (even if Union Apps has been advised of the possibility of the loss or damages), including losses and damages:
8.1.1. resulting from loss of use, data, or profits, whether or not foreseeable;
8.1.2. based on any theory of liability, including breach of contract or warranty, negligence or other tortious action; or
8.1.3. arising from any other claim arising out of or in connection with Union Apps User’s use of or access to the Services.
